Explanation of Responses:

1. Represents the automatic sale of stock to cover the tax liability associated with the vesting of a Restricted Stock Award.

2. Due to a system error in the filing software used, the number of shares sold to cover taxes was incorrectly reported in the initial Form 4 filed on February 6, 2024. The reporting person is filing this amendment to correct the number of shares sold, the transaction price, and the amount of securities beneficially owned following the sale of underlying stock.
