SCHEDULE TO
This Amendment No. 2 (this “Amendment No. 2”) amends and supplements the Tender Offer Statement on Schedule TO originally filed with the Securities and Exchange Commission on October 25, 2017 (as amended, the “Schedule TO”). This Schedule TO relates to the offer by Hospitality Investors Trust, Inc., a Maryland corporation (the “Company”), to purchase up to 1,000,000 shares of the Company’s common stock, par value $0.01 per share (the “Shares”), at a purchase price equal to $6.75 per Share, net to the seller in cash, less any applicable withholding taxes and without interest. The Company’s offer is being made upon the terms and subject to the conditions set forth in the Offer to Purchase, dated October 25, 2017 (the “Original Offer to Purchase”) as amended and supplemented by Amendment and Supplement No. 1 thereto, dated November 15, 2017 (“Supplement No. 1,” and together with the Original Offer to Purchase, as the same may be further amended or supplemented from time to time, the “Offer to Purchase”) and in the related Letter of Transmittal (the “Letter of Transmittal”) which, together with any amendments or supplements thereto, constitute the “Offer”. Copies of the Original Offer to Purchase, the Letter of Transmittal and Supplement No. 1 were previously filed with this Schedule TO as Exhibits (a)(1)(A), (a)(1)(B) and Exhibit (a)(1)(E) respectively. This Schedule TO is intended to satisfy the reporting requirements of Rule 13e-4(c)(2) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”).
This Amendment No. 2 is being filed to report the results of the Offer and is intended to satisfy the reporting requirements of Rule 13e-4(c)(4) promulgated under the Exchange Act.
The following information is provided pursuant to Rule 13e-4(c)(4):
| · | The Company has received the final results of the Offer, which expired at 5:00 p.m., New York City time, on December 22, 2017. |
| · | The Company has accepted for purchase 113,091 Shares properly tendered and not properly withdrawn prior to the expiration of the Offer at a purchase price of $6.75 per Share, for an aggregate purchase price of $763,366, excluding fees and expenses relating to the Offer. The 113,091 Shares accepted for purchase in the Offer represent approximately 0.29% of the Company’s 39,618,833 outstanding Shares as of December 26, 2017. |
| · | Computershare Trust Company, N.A. and Computershare Inc., the Depositary for the Offer, will promptly issue payment for the Shares validly tendered and accepted for purchase in accordance with the terms and conditions of the Offer. |
