1. Consists of 1,022 Stock Units. Each Stock Unit represents the right, subject to vesting, to receive one share of Class A Common Stock. The Stock Units vest in full on the earliest to occur of the following: (a) the date immediately preceding the date of the first annual meeting of Verso Corporation's ("Verso") stockholders that occurs in Verso's fiscal year immediately following the fiscal year in which the Stock Units were granted; or (b) the date on which a Change in Control (as defined in the award agreement) occurs.
