Item 1.01. Material Definitive Agreement.
On September 30, 2013, a series of mortgage pass-through certificates, entitled WFRBS Commercial Mortgage Trust 2013-C16, Commercial Mortgage Pass Through Certificates, Series 2013-C16 (the “Certificates”) were issued pursuant to a pooling and servicing agreement dated as of September 1, 2013 (the “Pooling and Servicing Agreement”), among Wells Fargo Commercial Mortgage Securities, Inc., as depositor, Wells Fargo Bank, National Association, as general master servicer, Rialto Capital Advisors, LLC, as general special servicer, NCB, FSB, as NCB master servicer, NCB, FSB, as co-op special servicer, Pentalpha Surveillance LLC, as trust advisor, Wells Fargo Bank, National Association, as certificate administrator, as tax administrator and as custodian, and U.S. Bank National Association, as trustee.
The Certificates represent, in the aggregate, the entire beneficial ownership in WFRBS Commercial Mortgage Trust 2013-C16 (the “Issuing Entity”), a common law trust fund formed on September 30, 2013 under the laws of the State of New York pursuant to the Pooling and Servicing Agreement. The assets of the Issuing Entity consist primarily of 86 fixed-rate mortgage loans (the “Mortgage Loans”) secured by first liens on 144 commercial properties.
The relative rights of the holders of the Mortgage Loan identified as “Augusta Mall” on Schedule I to the Pooling and Servicing Agreement (a “Non-Serviced Whole Loan”) are set forth in the related intercreditor agreement, which provides that such Non-Serviced Whole Loan be serviced and administered in accordance with a pooling and servicing agreement, attached hereto as Exhibit 1.1, and dated as of August 1, 2013 (“WFRBS 2013-C15 Pooling and Servicing Agreement”), among RBS Commercial Funding Inc., as depositor, Wells Fargo Bank, National Association, as general master servicer, CWCapital Assset Management LLC, as general special servicer, NCB, FSB, as NCB master servicer, NCB, FSB, as co-op special servicer, Trimont Real Estate Advisors, Inc., as trust advisor, Wells Fargo Bank, National Association, as certificate administrator, as tax administrator and as custodian, and U.S. Bank National Association, as trustee.
As disclosed in the Prospectus Supplement filed by the Issuing Entity pursuant to Rule 424(b)(5) with respect to the Certificates on September 27, 2013 (the “Prospectus Supplement”), the terms and conditions of the WFRBS 2013-C15 Pooling and Servicing Agreement applicable to the servicing of the Non-Serviced Whole Loan are substantially similar (except as noted in the Prospectus Supplement) to the terms and conditions of the Pooling and Servicing Agreement, as described under “Servicing of the Mortgage Loans and Administration of the Trust Fund” in the Prospectus Supplement, applicable to the servicing of the Mortgage Loans (other than the Non-Serviced Whole Loan).
