Item 1.01 Entry Into a Material Definitive Agreement

Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant
On May 17, 2024, HGIT Properties, L.P. (the “Operating Partnership”), a majority-owned subsidiary of Hines Global Income Trust, Inc. (“Hines Global” and, together with its subsidiaries, the “Company”), entered into a third amendment (the Amendment), dated as of May 17, 2024, to the Amended and Restated Credit Agreement, dated as of July 30, 2021 and March 24, 2023, with JPMorgan Chase Bank, N.A. (“Chase”), as Administrative Agent, and the lenders party thereto, which agreement established a credit facility consisting of a revolving loan commitment and two term loan commitments (the "Credit Facility"). The Amendment increases the term loan capacity by providing for a third senior, unsecured term loan (the "Third Term Loan Commitment") in the amount of $103.7 million. As a result, the total capacity of the Credit Facility was increased from $1.025 billion to $1.129 billion. The Third Term Loan Commitment has a maturity date of December 20, 2024 and is subject to two one-year extension options that the Company may exercise if it meets certain conditions and pays applicable extension fees. As of the date of this report, the total amount outstanding under the Credit Facility is $953.7 million.
