Item 1.01 Entry into a Material Definitive Agreement.
Credit Agreement Amendment
On January 5, 2023, Hilton Domestic Operating Company, Inc. (the “Borrower”), an indirect subsidiary of Hilton Worldwide Holdings Inc. (the “Company”), entered into Amendment No. 9 (the “Amendment”) to the Credit Agreement dated as of October 25, 2013 (as amended by Amendment No. 1 to the Credit Agreement dated as of August 18, 2016, as further amended by Amendment No. 2 to the Credit Agreement dated as of November 21, 2016, as further amended by Amendment No. 3 to the Credit Agreement dated as of March 16, 2017, as further amended by Amendment No. 4 to the Credit Agreement dated as of April 19, 2018, as further amended by Amendment No. 5 to the Credit Agreement dated as of June 5, 2019, as further amended by Amendment No. 6 to the Credit Agreement dated as of June 21, 2019, as further amended by Amendment No. 7 to the Credit Agreement dated as of October 21, 2021 and as further amended by Amendment No. 8 to the Credit Agreement dated as of December 9, 2022, the “Credit Agreement”).
After giving effect to the Amendment, the revolving credit commitments under the senior secured revolving credit facility (the “Revolving Credit Facility”) under the Credit Agreement will be increased from $1.75 billion to $2.0 billion and the maturity date of the Revolving Credit Facility will be extended to the earlier of (x) January 5, 2028 and (y) the date that is 91 days prior to the stated maturity of the Borrower’s existing term loans (or any permitted refinancing of such term loans outstanding as of such date).
All other terms of the Revolving Credit Facility and the Credit Agreement will remain substantially the same except as otherwise amended by the Amendment.
Certain of the participants in the Credit Agreement and their respective affiliates have engaged in, and may in the future engage in, investment banking, advisory roles and other commercial dealings in the ordinary course of business with the Company and/or its affiliates. They have received, or may in the future receive, customary fees and commissions for these transactions.
