Explanation of Responses:

1. Represents an initial restricted stock unit (RSU) award issued pursuant to the Issuer's Outside Director Compensation Policy. Each RSU represents a contingent right to receive one share of the Issuer's Common Stock upon settlement. 100% of the RSUs vest on September 5, 2018. The Reporting Person has elected to defer the receipt of the shares underlying the RSUs until the earlier of the Reporting Person's separation from service as a director or upon a "change of control" of the Issuer, pursuant to the Issuer's Restricted Stock Unit Deferral Program for Outside Directors.
