Thank you for the review of our registration statement. We have amended our registration statement in response to your comments, please see our answers below:
General
1. | Notwithstanding your assertions on pages 24 and 29 that you are not a blank check company because you have a specific business plan or purpose and that you have not had preliminary contact or discussions or any present plans, proposals, arrangements, or understandings with any representatives of the owners of any business or company about the possibility of an acquisition or merger, disclosures indicate that you are a development stage company with limited operating activities, no revenues, no orders from customers to purchase your products, no arrangements for additional financing, and a going concern opinion from your independent public accountant. These and other facts suggest that your proposed business is commensurate in scope with the uncertainty ordinarily associated with a blank check company and that you should comply with Rule 419 of Regulation C under the Securities Act. Please revise the registration statement to comply with Rule 419. |
For the reasons below, we do not believe that the Registrant is a blank check company. According to the language of Rule 419, a blank check company “is a development stage company that has no specific business plan or purpose or has indicated that its business plan is to engage in a merger or acquisition with an unidentified company or companies, or other entity or person…” We have researched the market place and believe that we have provided a detailed business plan including the budget we have developed, a description of our services, our marketing plan and discussions of competition and risk factors associated with our industry. Management continues to move forward while the website is being developed to a point that we are able to process and fulfill online orders. In the meantime we have fulfilled orders for a company for revenues of $45,830, continue to order from our vendors as orders are received and established our U.S. office as much as we can until we receive funding from the offering. The Company has no plans to merge with another company as a “blank check company” would do; we plan to implement our business plan as set forth in the Registration Statement.

2. | Advise us of all other registration statements of companies for which your sole director and officer may have acted as a promoter or in which he had a controlling interest. Describe in detail the nature and extent of the direct or indirect relationship between your sole director and officer and those companies and their affiliates. Indicate which companies are now viable or dormant and which businesses have been modified and restated from that described in their offering documents, noting the companies that are still actively reporting with the Commission. |
Mr. Igor Kaspruk has never acted as a promoter or had controlling interest in any other company that has filed a registration statement.
3. | Revise disclosure throughout the registration statement to state that you are a shell company as it appears from your disclosure that you have no operations and no non-cash assets. See Rule 405 of Regulation C under the Securities Act. Additionally, disclose the consequences of your shell company status, including the restrictions on your ability to use registration statements on Form S-8, the limitations on the ability of your security holders to use Rule 144, and the potential reduced liquidity or illiquidity of your securities. Additionally, disclose your shell company status on the prospectus’ outside front cover page, and add a related risk factor. |
For the same reasons outlined in Comment #1, we do not believe that we are a shell company. In October 2013 we signed a one year lease for office space located at 5803 SE Gladstone Street, Portland, OR 97206. This site will serve as our U.S. shipping site and after we obtain funding we will obtain the necessary office equipment to set up the office for further operations. We pay $500 a month for the Portland office. If we obtain all of our funding and are able to hire a salesperson the office will be used by that salesperson.
