Explanation of Responses:

1. Restricted Stock Unit ("RSU") award. Each RSU represents the right to receive one share of GCP common stock. RSU's vest in substantially equal installments on each of the first, second, and third anniversary of the grant date and are settled in shares of GCP common stock upon vesting.

2. Options become exercisable in substantially equal installments on each of the first, second and third anniversary of the grant date.
