Item 8.01. Other Events.
On November 29, 2021, Newtek Business Services Corp. (the “Company”) caused notices to be issued to the holders of its 5.75% Notes due 2024 (CUSIP No. 652526 609; NASDAQ: NEWTL) (the “Notes”) regarding the Company’s exercise of its option to redeem $40,000,000 of the issued and outstanding Notes ($78,250,000 in aggregate principal amount), pursuant to Section 1104 of the Indenture dated as of September 23, 2015, between the Company and U.S. Bank National Association, as trustee, and Section 1.01(h) of the Fourth Supplemental Indenture dated as of July 29, 2019, as supplemented by the Eighth Supplemental Indenture dated as of February 16, 2021, and as further supplemented by the Ninth Supplemental Indenture dated as of May 20, 2021. The Company will redeem $40,000,000 in aggregate principal amount of the Notes on December 29, 2021 (the “Redemption Date”). The Notes will be redeemed at 100% of their principal amount ($25 per Note), plus the accrued and unpaid interest thereon through, but excluding, the Redemption Date. A copy of the notice of redemption is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
