Venoco, Inc. (“Venoco”) and Denver Parent Corporation (“DPC,” and, together with Venoco, the “Companies”) could not finalize certain disclosures necessary for the completion of their respective financial statements to be included in the Quarterly Report on Form 10-Q in time to allow completion of the report within the prescribed time period due to recent changes in its senior financial and accounting personnel.

Each of the Companies expects to report that its oil and natural gas sales decreased approximately 28% to $57.2 million for the third quarter of 2014 relative to the third quarter of 2013. Venoco expects to report net income of $39.5 million for the third quarter of 2014 compared with a net loss of $2.9 million for the corresponding period in 2013, and DPC expects to report net income of $30.2 million for the third quarter of 2014 compared with a net loss of $28.6 million for the corresponding period in 2013. The foregoing statements are based on the Companies’ current expectations as of the date of this filing and involve a number of risks and uncertainties, which may cause actual results to differ.
