Explanation of Responses:

1. The stock option vests in equal monthly installments over 48 months, beginning on the date that is one month from the date of grant, subject to continued employment with the Company.

2. Each restricted stock unit represents a contingent right to receive one share of the Company's common stock.

3. The restricted stock units vest in four equal annual installments beginning January 18, 2018. Vested shares will be delivered to the reporting person within 30 days following each respective vesting date.
