Explanation of Responses:

1. Represents restricted stock units ("RSUs") granted pursuant to the Rightside 2014 Incentive Award Plan. The RSUs shall vest in sixteen (16) substantially equal installments commencing on May 15, 2016 and on each three (3) month anniversary thereafter.

2. The reported shares were withheld to cover the reporting person's tax liability in connection with the vesting of RSUs. These shares were not issued to or sold by the reporting person.
