1. Represents the vesting and settlement of Restricted Stock Units ("RSUs") on June 7, 2024.

2. Each RSU represents a contingent right to receive one share of the Issuer's Common Stock.

3. On June 7, 2021 the Reporting Person was granted RSUs, which vest in three substantially equal annual installments beginning on June 7, 2022, subject to the Reporting Person's continued service to the Issuer through the applicable vesting dates. The RSUs vested in full on June 7, 2024.
