Explanation of Responses:

1. Represents restricted share units granted to the Reporting Person under the Issuer's 2014 Share Incentive Plan, as amended and restated. Each restricted share unit represents the contingent right to receive one Ordinary Share. The restricted share units vest in equal annual installments of 1/3 each, beginning on the first anniversary of the date of grant, subject to the Reporting Person's continued relationship with the Issuer through such dates.

2. Shares held by Forbion Management. The Reporting Person is a member of Forbion's investment committee, which exercises voting and investment power over such shares. None of the members of the investment committee have individual voting and investment power with respect to such shares, and the Reporting Person disclaims beneficial ownership of such shares except to the extent of his proportionate pecuniary interest therein. The Reporting Person is also a partner of Forbion Capital Partners, which acts as the investment advisor to the directors of ForUniQure B.V. and Forbion 1 Management B.V. (the director of ForUniQure B.V.) with respect to Ordinary Shares held by ForUniQure B.V. The Reporting Person disclaims beneficial ownership of such Ordinary Shares, except to the extent of his proportionate pecuniary interest therein.

3. The Stock Option vests 25% on the first anniversary of the date of grant, and 6.25% quarterly thereafter until fully vested, subject to the Reporting Person's continued relationship with the Issuer through such dates.
