| Item 5.03. | Amendments to Articles of Incorporation or Bylaws |
On March 15, 2017, the Board of Directors of Riverview Financial Corporation (“Riverview”) adopted an amendment to Riverview’s bylaws, effective March 15, 2017. Specifically, the Board amended Section 6.1 of the Corporation’s Bylaws to provide that the record date for any meeting or the date fixed for the payment of any dividend or distribution, or the date for the allotment of rights, or the date when any change or conversion or exchange of shares will be made or go into effect, may be no more than ninety (90) days prior to the date of the meeting or event. Previously, only sixty (60) days were permitted.
