2. Includes 5,457 restricted stock units that will vest over time.

3. The reporting person gifted these shares to her Family Trust.

4. These shares in lieu of board fees are awarded based on an irrevocable deferral election for calendar year 2024 which was made before January 1, 2024.

5. Each share of Phantom Stock is the economic equivalent of one share of Common Stock. The shares of Phantom Stock become payable in Common Stock, at the election of the reporting person.
