Item 8.01. Other Events.
On June 18, 2019, the Board of Directors of Malibu Boats, Inc. (the “Company”) authorized a stock repurchase program to allow for repurchase of up to $35.0 million of the Company’s Class A Common Stock and the units in Malibu Boats Holdings, LLC (the “LLC Units”) for the period from July 1, 2019 to July 1, 2020 (the “Repurchase Program”).
Under the Repurchase Program, the Company may repurchase its Class A Common Stock and the LLC Units at any time or from time to time, without prior notice, subject to market conditions and other considerations. The Company’s repurchases may be made through 10b5-1 plans, open market purchases, privately negotiated transactions, block purchases or other transactions. The Company intends to fund repurchases under the Repurchase Program from cash on hand. The Company has no obligation to repurchase any shares under the Repurchase Program and may suspend or discontinue it at any time.
