Explanation of Responses:

1. On April 28, 2016, the Reporting Person was granted 60,000 restricted stock units, which will be settled in ordinary shares, par value U.S. $0.001. The restricted stock units vest upon achieving certain future stock price thresholds; provided, however, that in no event shall such restricted stock units vest on a date prior to April 28, 2017.

2. The Reporting Person directly and/or indirectly, possesses the sole power to vote and the sole power to direct the securities of Presbia PLC held by Feingold Investments, LLC. The Reporting Person's interest in the securities reported herein which are held by Feingold Investments, LLC is limited to the extent of his pecuniary interest in such entity.
