Explanation of Responses:

1. In connection with the Reporting Person's investment in a financing transaction involving Presbia PLC (the "Company") and the Company's subsidiary Presbia USA, Inc. (the "Subsidiary") pursuant to which the Reporting Person provided a $3,500,000 secured loan to the Subsidiary, purchased $100,000 of preferred shares of the Company, and exchanged preferred shares of the Subsidiary for new preferred shares of the Subsidiary at an original issue price of $5,239,000, the Reporting Person received a warrant to purchase up to 14,731,667 ordinary shares of the Company.
