1. Represents restricted shares of Issuer common stock received in the spin-off of the Issuer from Fidelity National Financial, Inc. (the "Spin-off") in connection with outstanding restricted stock grants of Fidelity National Financial, Inc. These shares will be subject to the same terms and conditions applicable to such Fidelity National Financial, Inc. restricted stock grant.

2. Includes shares of Issuer common stock received in the Spin-off with respect to shares of Fidelity National Financial, Inc. common stock held prior to the Spin-off.

3. Represents a grant of restricted stock that vests in three equal annual installments beginning on December 1, 2023.
