Explanation of Responses:

1. On March 17, 2015, seven (7) shares of ACT common stock were credited to the Reporting Person's third party managed account following the merger of Allergan, Inc. with and into Actavis plc. These shares resulted from the conversion of 21 shares of Allergan Common Stock which were purchased for the Reporting Person's account by an independent third party manager without any instruction, advice or consent from the Reporting Person as to the underlying transaction.

2. In connection with the merger of Allergan, Inc. with and into Actavis plc on March 17, 2015, each share of Allergan Common Stock held by the Reporting Person was exchanged for $129.22 in cash plus 0.3683 of an Actavis Ordinary Share.

3. Includes 13,012 unvested restricted share units of Actavis plc.
