1. The transaction reported on this Form 4 was effected pursuant to a Rule 10b5-1 Plan adopted by the Reporting Person on March 31, 2021.

2. Includes an aggregate of 12,795 RSUs awarded on 7/1/2018, 7/1/2019, 7/14/2020, 7/1/2021 and 7/1/2022 to Reporting Person pursuant to the Plan. The RSUs vest contingent upon employment as follows: 3,790 units vest 7/1/2023, 4,243 units vest 7/14/2023, 3,124 units vest 7/1/2024 and 1,638 units vest 7/1/2025.
