1. This is a grant of restricted incentive units under the company's long-term incentive plan which was accelerated upon the reporting person's death.

2. Units held by James C. Crain Trust, Mr. James C. Crain as trustee, for the benefit of Mr. Crain's children. Mr. Crain disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and the filing of this report is not an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.
