EXPLANATORY NOTE
On October 2, 2017, Dimension Therapeutics, Inc. (the “Company” or “Dimension”) issued the following communications to its employees:

Ultragenyx Pharmaceutical Inc. made an unsolicited proposal to acquire Dimension for $6.00 per share in cash. This morning, we issued a press release announcing that our Board of Directors, after consultation with its financial advisor and outside legal counsel, has determined the Ultragenyx proposal to be a “Superior Proposal” to the previously announced merger agreement with REGENXBIO, Inc., as defined under the terms of that agreement. The Ultragenyx proposal was submitted after we entered into the agreement to be acquired by REGENXBIO Inc. Pursuant to the terms of our agreement with REGENXBIO, Dimension notified REGENXBIO of the Board of Directors’ determination, following which REGENXBIO agreed to waive its option to negotiate a possible amendment of that merger agreement to match or exceed Ultragenyx’s proposal. Our Board of Directors is not permitted to enter into Ultragenyx’s merger agreement or to change its recommendation in favor of the REGENXBIO transaction until we satisfy certain other requirements under the merger agreement with REGENXBIO, which are currently anticipated to be satisfied on or about October 2, 2017.
It is important to note that our Board of Directors has not changed its recommendation in support of the merger with REGENXBIO. Indeed, that merger agreement still stands.
Further, there can be no assurances that a transaction with Ultragenyx will result from Ultragenyx’s proposal, or that any other transaction will be consummated.
We understand this process can be distracting, and while it remains ongoing, we at Dimension continue to be business as usual. The interest in our company by both REGENXBIO and Ultragenyx underscores the strength of the Dimension pipeline, our team (including you), and our capabilities. It remains important that we continue to build on this record and provide our partners with the same high level of service they have come to expect from Dimension. The most impactful and important activities we can all do is execute our projects and priorities as we always have.
