Explanation of Responses:

1. Shares of Class A Common Stock ("Stock") were delivered upon the vesting and settlement of Restricted Stock Units ("RSUs") granted to the Reporting Person. The RSUs were granted on March 1, 2016, subject to performance and service based vesting conditions. The RSUs vested and the underlying shares were issued based upon certification of the achievement of the performance goals by the Compensation Committee of the Issuer.

2. Shares of Stock otherwise deliverable were withheld to satisfy the Reporting Person's tax obligations arising from RSU conversion and Stock delivery events described in note 1 above.
