On January 20, 2015, Endo International plc issued a press release announcing the commencement of a private offering (the “Offering”) of a new series of senior unsecured notes (the “Notes”) by its wholly-owned subsidiaries, Endo Limited, Endo Finance LLC and Endo Finco Inc.
A copy of the press release announcing the commencement of the Offering is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
The Notes have not been registered under the Securities Act of 1933, as amended, and may not be offered in the United States absent registration or an applicable exemption from registration requirements.
