Explanation of Responses:

1. Upon each vesting date, each vested restricted stock unit automatically converts into one (1) ordinary share of Endo International plc. One-third (1/3) of these restricted stock units (RSUs) generally vest, thus expire, on each of April 2, 2019, April 2, 2020 and April 2, 2021.

2. These RSUs were granted to Mr. Maletta in consideration of his services as Executive Vice President and Chief Legal Officer of Endo International plc.
