Item 2.02. Results of Operations and Financial Condition.
On November 5, 2014, Tribune Publishing Company (the “Company”) issued a press release announcing its financial results for the quarter ended September 28, 2014 and other financial information. A copy of the press release is furnished as Exhibit 99.1 to this report. The information in Item 2.02 of this Form 8-K and Exhibit 99.1 attached hereto shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such filing.
Item 8.01. Other Events.
On November 4, 2014, the Company also announced that its Board of Directors has declared a quarterly cash dividend of $0.175 per share of common stock. The record date for the dividend is November 19, 2014, and the dividend is payable on December 10, 2014.
