Explanation of Responses:

1. This award is intended as the Reporting Person's sole non-employee director compensation for a three-year period. The award of restricted stock will vest in three equal installments on August 7, 2018, 2019 and 2020, subject to acceleration upon certain events. If the Reporting Person voluntarily resigns from the Issuer's Board of Directors, any unvested portion of this award at the time of resignation will be forfeited.

2. Merrick Venture Management, LLC is the sole manager of Merrick Media, LLC. Mr. Ferro serves as the manager of Merrick Venture Management, LLC. Mr. Ferro disclaims beneficial ownership of these shares except to the extent of his pecuniary interest therein.
