Explanation of Responses:

1. Reflects shares withheld to pay tax withholding requirements on vesting of previously granted restricted stock units. Effective November 3, 2015 (the "Grant Date"), the reporting person was granted 30,000 restricted stock units of the Issuer, vesting over a three-year period: one-third on each of the first, second and third anniversary of the Grant Date, subject to the reporting person's continued employment with the Issuer.
