Explanation of Responses:

1. Issuer's common stock (the "Common Stock") acquired upon vesting of restricted stock units ("RSUs") awarded to the Reporting Person on April 4, 2018 (the "Grant Date").

2. Listed RSUs were awarded on the Grant Date and represent a portion of the total award that vests on the annual anniversary of the Grant Date and is converted on a one-for-one basis to Common Stock.

3. Each of the RSUs represents a contingent right to receive one share of Common Stock.
