Explanation of Responses:

1. The reporting person was granted options on August 10, 2010 that were scheduled to expire on August 10, 2020. In accordance with the terms of the option award agreement, the options were automatically exercised on the last trading date prior to the expiration date and shares were withheld to satisfy the exercise price and tax withholding obligation.

2. The options vested in three equal installments on August 10, 2011, 2012 and 2013.
