On September 12, 2016, IMS Health Holdings, Inc. (“IMS Health”) issued a press release announcing that its wholly-owned subsidiary, IMS Health Incorporated (the “Issuer”), intends to raise $1,500 million equivalent in gross proceeds through an offering of the Issuer’s senior notes. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
