Explanation of Responses:

1. Fully-vested shares of Class A common stock of New York City REIT, Inc. (the "Registrant") issued pursuant to the 2020 Omnibus Incentive Compensation Plan of the Registrant in lieu of cash payment for quarterly fees earned by the reporting person as an independent director of the Registrant.

2. The number of securities reflects the 9.72-to-1 reverse stock split by the Registrant of its Class A common stock followed by a stock dividend of three shares of Class B common stock for every share of Class A common stock outstanding completed on August 5, 2020. The conversion of shares of Class B common stock into shares of Class A common stock listed on the New York Stock Exchange was completed on August 13, 2021. The number of securities reported also reflects the reporting person's receipt of cash in lieu of fractional shares in connection with the reverse stock split and conversions described in this footnote.
