(the "Company"), SOR PORT Holdings, LLC ("Parent"), and SOR PORT, LLC ("Merger Sub"), pursuant to which Merger Sub merged with and into the Company, with the Company surviving as a wholly owned subsidiary of Parent. At the effective time of the merger, each outstanding share of the Company's common stock was converted into the right to receive $5.13 per share. |
