Explanation of Responses:

1. The Reporting Person received an award of 13,720 shares of restricted stock on January 24, 2025, which, subject to the conditions of the award, will vest in its entirety on December 19, 2025.

2. MAZ Capital Advisors, LLC is the General Partner of MAZ Partners LP, and the reporting person is the sole member and manager of MAZ Capital Advisors, LLC. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.
