Explanation of Responses:

1. Represents shares of Issuer Class B common stock received upon delivery of shares underlying vested restricted stock units ("RSUs").

2. Each RSU represents a contingent right to receive one share of Issuer Class B common stock.

3. In connection with the Issuer's business combination with RideNow, the vesting of these RSUs were accelerated and the shares of Class B common stock were issued on September 3, 2021.
