Explanation of Responses:

1. The reported ordinary shares represent restricted stock units ("RSUs"), which will be settled in an equal number of MNK ordinary shares and will vest ratably on each of the first two anniversaries of MNK's emergence from Chapter 11 proceedings on June 16, 2022.

2. The reporting person has reported prior awards of RSUs in Table II of Form 4. The total reported in Column 5 includes the 26,277 newly awarded RSUs and 26,276 RSUs previously reported in Table II.

This Form 4 constitutes a notice to the Issuer for purposes of Part V of the Companies Act 2014.
