Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously disclosed, effective as of February 1, 2020, Todd Hyatt, the Chief Financial Officer (“CFO”) of IHS Markit Ltd. (the “Company”) will step down as CFO and Jonathan Gear, currently the Company’s Executive Vice President and President of Resources, Transportation and CMS, will become the Company’s CFO. When Mr. Gear becomes CFO, he will step down as President of Resources, Transportation and CMS.
Item 8.01 Other Events.
On January 17, 2020, IHS Markit Ltd. announced the declaration of a quarterly cash dividend of $0.17 per common share, payable on February 14, 2020 to shareholders of record as of February 6, 2020. The Markit Group Holdings Limited Employee Benefit Trust, has, subject to certain limited exceptions, waived its right to receive dividends with respect to common shares it holds and, as a result, it will not participate in the dividend payable on February 14, 2020.
A copy of the media release announcing the dividend is attached as Exhibit 99.1 to this Current Report.
