ITEM 8.01. Other Events.
On March 24, 2020, IHS Markit Ltd. (the “Company”) announced that it paused its authorized share repurchase program. The Company is now restarting the share repurchase program, which currently has $1.75 billion of remaining authorization as of the date hereof. The Company is authorized under the program to repurchase its common shares, at management’s discretion, on the open market from time to time, in privately negotiated transactions, or through accelerated share repurchase agreements, subject to availability of common shares, price, market conditions, alternative uses of capital, and applicable regulatory requirements. Repurchases may be funded using existing cash, cash equivalents, marketable securities and future cash flows, or through the incurrence of short- or long-term indebtedness, at management’s discretion, and as previously stated the Company intends to maintain its capital policy target leverage ratio of 2.0-3.0x.
