Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. (e) The Board of Directors (the “Board”) of Minerva Neurosciences, Inc. (the “Company”) previously approved the amendment and restatement of the Company’s Amended and Restated 2013 Equity Incentive Plan (the “2013 Plan”), subject to stockholder approval, to, among other things, increase the aggregate number of shares of common stock authorized for issuance under the 2013 Plan by 2,500,000 shares (the “Amended 2013 Plan”). On June 7, 2018, the Company’s stockholders approved the Amended 2013 Plan. A complete copy of the Amended 2013 Plan is filed herewith as Exhibit 99.1. The above summary of the Amended 2013 Plan does not purport to be complete and is qualified in its entirety by reference to such exhibit. Item 5.07 Submission of Matters to a Vote of Security Holders. The results of matters submitted to a stockholder vote at the Annual Meeting of Stockholders of the Company held on June 7, 2018 (the “2018 Annual Meeting”) in Boston, Massachusetts are as follows: Proposal 1: Election of Directors.
