Explanation of Responses:

1. Represents shares of the Issuer's Class A Common Stock issued for the vesting of performance-based restricted stock units granted on November 6, 2015 in respect of the Issuer's 2015 fiscal year.

2. Includes 1,072 restricted stock units vesting in two substantially equal annual installments beginning on November 6, 2017, 3,912 restricted stock units vesting in three equal annual installments beginning on November 6, 2017 and 5,000 shares of restricted stock vesting in four equal annual installments beginning on November 4, 2017. The restricted stock units represent the contingent right to receive an equivalent number of shares of the Issuer's Class A Common Stock.

3. Represents shares of the Issuer's Class A Common Stock withheld for tax withholding purposes in connection with the vesting of 1,072 performance-based restricted stock units granted on November 6, 2015 in respect of the Issuer's 2015 fiscal year.

4. Represents shares of the Issuer's Class A Common Stock issued for the vesting of performance-based restricted stock units granted on November 6, 2015 in respect of the Issuer's 2016 fiscal year.

6. Represents shares of the Issuer's Class A Common Stock vesting under performance-based restricted stock awards granted on November 4, 2016 in respect of the Issuer's 2017 fiscal year.
