Explanation of Responses:

1. Each Restricted Stock Unit represents a contingent right to receive one share of PetroQuest common stock.

2. The number of shares acquired and the number of shares beneficially owned following the reported transaction have been adjusted to reflect the one for four reverse split of the common stock effective May 18, 2016 (the "Reverse Split").

3. On November 12, 2014 the reporting person was granted 20,478 post Reverse Split Restricted Stock Units. One third of the Restricted Stock Units vest on each of the first, second and third anniversaries of the grant date. The applicable number of shares of PetroQuest common stock will be delivered to the reporting person on each such vesting date.
