Explanation of Responses:

1. The option was granted on June 8, 2020. 300,000 shares underlying the option are scheduled to vest quarterly over the period beginning on the date of grant, with (i) 23,489 shares vesting on September 30, 2020, (ii) 18,750 shares vesting on the last calendar day of each of the fourteen calendar quarters following September 30, 2020 and (iii) 14,011 shares vesting on June 30, 2024. The remaining 300,000 shares underlying the option are scheduled to vest quarterly over the period beginning on the date of grant, with (i) 23,489 shares vesting September 30, 2020, (ii) 18,750 shares vesting on the last calendar day of each of the fourteen calendar quarters following September 30, 2020 and (iii) 14,011 shares vesting on June 30, 2024, in each case, subject to the satisfaction of certain performance conditions.
