Explanation of Responses:

1. These shares were sold pursuant to Company policy that requires a holder of Restricted Stock Units (RSU's) to immediately sell enough shares to enable the Company to fulfill its obligation to deliver funds to the Internal Revenue Service to cover the holder's tax obligation which is triggered by the vesting of the RSU and pursuant to the terms of Ms. Lathe's Rule 10b-51 trading plan.

2. Granted pursuant to the 2007 Long Term Incentive Plan, as amended and restated.

3. These shares were granted in the form of Restricted Stock Units (RSU's). Each RSU represents a contingent right to receive one share of Rackspace Hosting, Inc. common stock. The shares under the RSU grant shall vest 25% annually with the first vest date beginning August 15, 2016.
