1. Restricted stock units convert into common stock on a one-for-one basis.

2. These restricted stock units represent dividend equivalent rights that accrued, in the form of additional restricted stock units, as a result of payment of cash dividends in respect of previously awarded restricted stock units that were earned on January 29, 2015, and vest proportionately with such restricted stock units. Each dividend equivalent right may be settled in common stock or in cash.
