Explanation of Responses:

1. These restricted stock units ("RSUs") vest in two equal annual installments on March 10, 2025 and March 10, 2026.

2. These RSU convert to V2X, Inc. common stock on a one-for-one basis.

3. These RSUs vest in three equal annual installments beginning on March 8, 2025.

4. Up to 80% of the target amount of PSUs reported herein will vest upon the achievement of certain stock price conditions during the performance period ending on December 31, 2025. In addition, 100% of such target amount will vest upon achievement of such stock price and other performance conditions during such period.

5. These performance stock units ("PSUs") convert to V2X, Inc. common stock on a one-for-one basis.
