Explanation of Responses:

1. The Reporting Person transferred shares of common stock from a Uniform Transfers to Minors Act account held by his wife as custodian for the benefit of his minor son that the Reporting Person is deemed to indirectly beneficially own to an account the Reporting Person directly owns, in exchange for a payment of $20,000 into the UTMA account (the equivalent of $40.816 per share) in order to diversify the UTMA account.
