Explanation of Responses:

1. In December 2019, CIM Capital IC Management, LLC, a wholly-owned subsidiary of CIM Group, LLC., purchased 4,000 of Class I Common Shares from the Issuer as seed capital for the Issuer.

2. These shares are owned directly by CIM Capital IC Management, LLC. The reporting person, Richard Ressler and Shaul Kuba may be deemed to beneficially own all of these shares because of their positions with CIM Group, LLC. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.
